These Terms and Conditions ("Terms") govern your access to and use of the website and services provided by Code Xenix ("we," "us," or "our"). By engaging our services or using our website, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use our services.

1. Acceptance of Terms

By accessing our website, requesting a quote, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute the entire agreement between you and Code Xenix regarding the subject matter herein.

We reserve the right to modify these Terms at any time. Changes become effective upon posting to our website. Your continued use of our services after any modifications constitutes acceptance of the updated Terms.

2. Services

Code Xenix provides software development and technology consulting services, including but not limited to:

  • Custom Software Development
  • SaaS Development
  • Web Development
  • Mobile App Development
  • AI Solutions
  • UI/UX Design
  • Cloud & DevOps
  • API Development
  • MVP Development
  • Software Consulting

The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate Statement of Work (SOW), proposal, or contract agreed upon by both parties.

3. Intellectual Property

Our Intellectual Property

All content, materials, and intellectual property on our website — including text, graphics, logos, icons, images, software, code, designs, and documentation — are the property of Code Xenix or its licensors and are protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from our website without prior written permission from Code Xenix.

Client Project Intellectual Property

Unless otherwise agreed in writing:

  • Upon full payment, clients receive ownership of custom deliverables specifically created for their project under the applicable SOW.
  • Code Xenix retains the right to use general knowledge, skills, experience, ideas, concepts, techniques, and know how gained during the engagement for other purposes, provided this does not disclose client confidential information.
  • Third party components, libraries, frameworks, and open source software used in deliverables remain subject to their respective licenses.
  • Code Xenix may display the client's name and a general description of the project in its portfolio and marketing materials unless the client objects in writing.

Pre Existing Intellectual Property

Each party retains ownership of its pre existing intellectual property. If either party incorporates pre existing IP into deliverables, the owning party grants a non exclusive, royalty free license to use that IP solely as part of the deliverables.

4. User Responsibilities

When using our website and services, you agree to:

  • Provide accurate, current, and complete information when requested
  • Maintain the confidentiality of any account credentials
  • Promptly notify us of any unauthorized use of your account
  • Use our services only for lawful purposes and in compliance with applicable laws
  • Not engage in any activity that disrupts, interferes with, or attempts to gain unauthorized access to our systems, networks, or services
  • Not use our services to transmit malicious code, viruses, or harmful content
  • Not reverse engineer, decompile, or disassemble any software provided through our services
  • Not resell or redistribute our services without prior written consent

5. Payments

Pricing and Fees

Service fees will be specified in the applicable proposal, SOW, or contract. All fees are quoted in United States Dollars (USD) unless otherwise stated.

Payment Terms

  • Invoices are due and payable within the timeframe specified in the invoice, typically Net 15 or Net 30 days from the invoice date.
  • For ongoing projects, we may require milestone based payments as outlined in the SOW.
  • Deposits or advance payments may be required before work commences, as specified in the engagement agreement.

Late Payments

Late payments may incur a finance charge of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on any outstanding balance. We reserve the right to suspend or terminate services if payments are not received within the specified terms.

Expenses

Client approved expenses incurred during the project (such as third party software licenses, stock assets, or travel) will be invoiced separately with prior approval.

6. Quotes & Estimates

Any quotes, estimates, or proposals provided by Code Xenix are valid for the period specified in the document, typically 30 days from the date of issue. Estimates are provided in good faith based on the information available at the time and are subject to change if the project scope, requirements, or specifications change.

Final pricing may differ from initial estimates if:

  • Project requirements change or expand beyond the original scope
  • Additional features or functionality are requested
  • Technical complexities not initially identified are discovered
  • Third party costs (hosting, licenses, APIs) change

7. Project Timelines

We strive to deliver projects within the agreed upon timelines. However, project timelines are estimates and are subject to the following conditions:

  • Timelines begin on the date of project kickoff or receipt of required materials, whichever is later.
  • Delays in client feedback, approvals, or delivery of required materials may extend project timelines proportionally.
  • Changes to project scope may require timeline adjustments, which will be communicated and agreed upon before implementation.
  • We will provide regular progress updates and notify you promptly of any potential delays.

Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including natural disasters, pandemics, government actions, or force majeure events.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. "Confidential Information" includes:

  • Business plans, strategies, and financial information
  • Technical specifications, source code, and architectures
  • Client data, user data, and personal information
  • Trade secrets, algorithms, and proprietary processes
  • Marketing plans and customer lists

Each party agrees to:

  • Use Confidential Information solely for the purpose of the engagement
  • Not disclose Confidential Information to third parties without prior written consent
  • Protect Confidential Information with at least the same degree of care used to protect its own confidential information
  • Limit access to Confidential Information to employees and contractors who need to know and are bound by confidentiality obligations

These obligations survive termination of the engagement for a period of three (3) years, or indefinitely with respect to trade secrets.

9. Third Party Software

Our services may involve the use of third party software, libraries, APIs, open source components, or cloud services. Such third party components are subject to their own license terms and conditions.

Code Xenix is not responsible for the availability, functionality, or security of third party services. We will inform you of any third party licenses that apply to project deliverables and ensure compliance where applicable.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Code Xenix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
  • Our total aggregate liability for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Code Xenix during the twelve (12) months preceding the claim.
  • These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

11. Warranty Disclaimer

Except as expressly stated in a written agreement, our services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non infringement
  • Warranties that services will be uninterrupted, error free, or secure
  • Warranties regarding the accuracy or reliability of results obtained from services
  • Warranties that defects will be corrected within a specific timeframe

We provide warranties specifically defined in individual project agreements. To the extent that applicable law does not allow the exclusion of implied warranties, these exclusions may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Code Xenix, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our services or website
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third party rights, including intellectual property rights
  • Content or materials you provide to us for use in a project

13. Termination

Termination by Client

You may terminate a project engagement by providing written notice. In the event of termination:

  • You are responsible for payment of all work completed and expenses incurred up to the termination date.
  • If a deposit was paid, the deposit may be non refundable as specified in the SOW.
  • We will deliver all completed work and materials within a reasonable timeframe.

Termination by Code Xenix

We may terminate or suspend services if:

  • Payment is not received within the specified terms after written notice.
  • You materially breach these Terms and fail to cure the breach within 15 days of written notice.
  • You engage in conduct that poses a security risk or legal liability to Code Xenix.

Survival

The following sections survive termination: Intellectual Property, Confidentiality, Limitation of Liability, Warranty Disclaimer, Indemnification, Governing Law, and any other provisions that by their nature should survive.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New Jersey, and both parties consent to the personal jurisdiction of such courts.

For international clients, any disputes that cannot be resolved amicably shall be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in English in New Jersey.

15. Changes to Terms

We reserve the right to update or modify these Terms at any time. Changes are effective when posted to our website. We will make reasonable efforts to notify you of material changes through email or a prominent notice on our website.

Your continued use of our services after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should discontinue use of our services.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
